These Terms of Service and Purchase (“Terms”) are entered into by and between you (“you” or “customer”) and Butterfly Effect Experience LLC, doing business as Merissa Si-Lence (“Company,” “we,” “us,” or “our”).
These Terms govern your purchase of any digital product, program, subscription, or service offered by the Company through https://merissasilence.com or related checkout platforms (collectively, the “Products”). These Terms do not govern general website access, which is covered separately under the Terms of Use.
By purchasing any Product, you agree to be bound by these Terms, along with our Privacy Policy, Terms of Use, and Disclaimer, which are incorporated by reference. If you do not agree, do not complete a purchase.
Eligibility
You must be at least 18 years of age to purchase any Product. By purchasing, you represent that you have the legal authority to enter into this agreement.
Products and Scope
Products are digital in nature and may include downloadable resources, templates, guides, written or recorded educational materials, or access to a password-protected platform.
The Company does not provide coaching, live calls, therapy, medical services, legal services, or financial advisory services.
Product details, scope, access duration, and pricing are described on the applicable sales or checkout pages and are incorporated into these Terms by reference.
Payment Terms
You agree to pay all fees associated with the Product in full, including applicable taxes, at the prices listed at checkout.
You authorize the Company to charge your selected payment method. You represent that you have the legal right to use the payment method provided and that all billing information is accurate.
We reserve the right to refuse, cancel, or revoke access to any order suspected of fraud, unauthorized use, or violation of these Terms.
Payments are processed through third-party payment processors. The Company does not store full payment card details.
Subscriptions and Payment Plans
Some Products may be offered through subscriptions or payment plans.
If you enroll in a subscription, you authorize recurring charges according to the billing frequency disclosed at checkout. Subscription access continues only while payments remain current.
If you enroll in a payment plan, you agree to complete all scheduled payments. A payment plan is a convenience, not a cancellation option.
Missed or failed payments may result in suspension or termination of access until the account is brought current.
No Refund Policy
All sales are final.
Due to the digital nature of the Products, no refunds are provided for any reason, including dissatisfaction, unused access, mistaken purchase, or failure to complete the Product.
Chargebacks or payment disputes initiated in violation of this policy may result in immediate termination of access and additional collection actions where permitted by law.
Product Access and Availability
Access begins upon successful payment and continues for the duration specified on the sales page, subject to compliance with these Terms.
The Company may modify, discontinue, or replace any Product at any time. Access interruptions may occur due to platform limitations, maintenance, or factors outside our control. Continued availability is not guaranteed.
Intellectual Property
All Products contain intellectual property owned by the Company or its licensors, including text, templates, designs, graphics, videos, and proprietary frameworks.
Your purchase grants you a limited, non-exclusive, non-transferable, revocable license to use the Product for your personal or internal business use only.
You may not reproduce, distribute, sell, sublicense, share, modify, or create derivative works from any Product or use the Product to create competing offerings.
Violation of this section results in immediate termination of access without refund.
Confidentiality
Products may contain proprietary and confidential information. You agree not to disclose, share, or distribute Product content to any third party.
If Products include community or shared environments, you agree to respect the confidentiality and privacy of other participants.
Disclaimer of Professional Advice
Products are provided for educational and informational purposes only.
Nothing in the Products constitutes medical, legal, financial, therapeutic, or professional advice. No professional-client relationship is created by your purchase.
You are responsible for your own decisions, actions, and results.
Limitation of Liability
To the fullest extent permitted by law, the Company is not liable for any indirect, incidental, consequential, special, or punitive damages arising from your purchase or use of any Product.
The Company’s total liability under these Terms will not exceed the amount paid by you for the applicable Product.
Indemnification
You agree to indemnify and hold harmless the Company from any claims, losses, liabilities, damages, or expenses arising from your use of the Products or violation of these Terms.
Non-Disparagement
You agree not to make false or materially harmful statements about the Company or its Products. This does not limit lawful reviews or statements of opinion.
Force Majeure
The Company is not liable for delays or failures caused by events beyond reasonable control, including natural disasters, system failures, governmental actions, or widespread service outages.
Changes to These Terms
We may update these Terms at any time. Updates are effective upon posting. Continued use of any Product after updates constitutes acceptance of the revised Terms.
Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Texas. Any dispute must be brought exclusively in the state or federal courts located in Travis County, Texas.
